I am looking at another 98 ZJ that is actually in better shape than my current 98 ZJ. The current owner states that the engine a 4.0 ltr is seized up plus has a head gasket leak. How much work would it be to put the 5.2 ltr from my current ZJ into it?
I was thinking probably the ECM and TCM would definitely have to be switched. But are there any other big issues that I would run into?

Yes, you're going to need the transmission as well. If you have a D44 axle in your ZJ, you'll need to change the pinion yoke or modify the driveshaft to fit. Of course you can swap to the D44 as well. Which you do depends on the gear ratio...or swap BOTH axles.
