Its a tough one, but this is the right move. My suggestion?

Dont part it out, you've got a DD, park this thing. Save up your money, and start looking for a cheap shell. Clean 2wd/4cyl XJs can be had for a song. And youll have all the bits you need to convert it over, axles, drivetrain, 31s, etc. Then just scrap this shell.

X2^^^ Drive it and get by till you can start with a better XJ

Those rust holes look bad, i would scuff off some of the rust and see how weak the metal is in every section. The other things are easier to deal with compared to those holes and rust areas. But if it runs i guess i would use it as a DD... just try not invest too much money into it.

I may be coming into some money soon, so i am hunting for a better candidate .

Question, if a 4.0 loses it's serp belt, whats the odds of actual damage? It says it needs a belt and Alt but don't state why the belt went. It's a 95.

i am gunning for a 99 but they are pricey...lol

+1 that thing has full on structural damage, and will be an absolute nightmare to work on. Ditch it while it still moves.

Agreed, i was under it tonight and it really isn't that bad but that hole is big. I have a friend that said he can repair it, but she has so many other issues i fear its gonna be too much.

Someone offered to buy it tonight for $750 and I will probably let it go, I am just waiting for my title to show up (MASS takes a while) I have a page of potential jeeps of varying types. My other friend wants me to get a late 90's Sahara. I found a 94 GC that is near mint, and a bunch of overpriced XJ's lol

If you don't think that you will buy another XJ, then take that 750 and run. But if you are going to buy another XJ, especially 97-01, save it for a parts jeep. It sounds stupid, but when you start adding up costs of various random parts (tires, wheels, interior, glass, etc. etc.) you can hit that 750 really quick. Also, whatever parts you dont use for the next project you can sell. Good luck with finding a new project.

The bug has already hit, i just found a 2D 2wd 99 for cheap so i am trying to make that work if so i would keep the 00 and use the tcase and front dif etc

Otherwise I want another XJ i just might have to go pretty far out for a rust free one. That GC i found is really nice, and well Sahara's are very expensive for good ones. I may just have to save up.

Thanks for the honesty everyone, i know its tough to step away and i got all excited but my 44 year old self kicked in and was like be realistic, get a better starting point.

I know what you mean, its getting more and more difficult to find them. Pretty much all jeeps older than like 15 years are priced sky high, with the exception of Grand Cherokee's. A 2dr 2wd is a good starting off point especially if it is rust free. It seems like that is one of the main hurdles. At least it seems you will have a decent parts vehicle for the larger components, then you can sell the interior bits and stuff that wont work on the 2dr. Although I would check compatibility of some stuff from 99 to 2000, I think there were some changes made that may affect if you are going to do a 4wd conversion.
