Default Clutch or transmission?

Ok, so I have a 1995 4.0 with ax15 transmission. My throw out bearing has been making noise lately so I know that's going out, but almost every time I grab 3rd gear it grinds a bit and it's getting difficult to downshift to 2nd. Is this my clutch going out or my tranny?

I had my clutch changed at about 137K miles or so. The clutch disc was actually okay for a few more miles but the throw out bearing was gone. That's the reason why I changed it b/c of the noise only when I pressed the clutch in. Note this was an NV3550.
