I would imagine it's on top of it. That's how it is on my 96. Don't think it can be much different

the sound bar is actually part of the headliner on a 2001, it's all one piece it just has speaker holes in it

There's a plastic support piece that goes underneath the headliner. I bought a 98s headliner out of a junkyard and tried to fit the headliner/speaker bar in my 91and the plastic piece wouldn't fit in right.

I was going to do the recover headliner route also. But I went to the pick and pull jy and pulled a brand new looking one out with the two dome lights and I got it cheaper than the two cans of 3m glue. And took only 15 minutes to put in! Just an idea!

You lucky dog. Im thinking of doing bed liner since my headliner since I destroyed mine a few weeks after I put it in. Wondering how good bed liner will be up there.
