transmission issues???

transmission issues???
Help!!! I am having issues with my 1994 jeep cherokee sport. Whenever I take off from a stop there is a grinding sort of noise that seems to be coming from the transmission. Also when doing 75 on the interstate it will kick in and out of overdrive. Could the transmission be going out? Please help! Any help would be greatly appreciated! Thanks in advance!
