Is the only difference the axle shafts?

yes the only diffrence is 2 splines on the axle shafts

In regards if your XJ has the C8.25...
Year of your XJ.. 96 and earlier got the C8.25 27s.. With some exception to XJ's built at the end of the 96 model year as it has been reported that some got the C8.25 29s.. All 97-01 XJ's who got C8.25's got the 29 spline version
