Transmission issue.

Transmission issue.
I have a 2000 Grand Cherokee 4.0 4x4, It doesn't want to shift into the next gear from 1st gear, and if i accelerate it neutrals out, and i have to let rpms settle before it has 1st gear again, What Can be the problem?

Fluid level was a tad low but i topped it off, and condition was Not burnt smelling, it was kinda gritty when i rubbed it between my fingers.., i have plans to change fluid, pan gasket/filter next week..

Engine: 4.0 with all of the noise and clatter
I have seen a bad gov. pressure solenoid and shift solenoid cause the transmission to not shift, but you usually get a check engine light when that happens.
