'01 GC 4x4 - 42RE Stuck in 2nd Gear

Engine: 4.0L 6cyl. WJ
To many of you this is an old problem. I've got 100k miles on my GC, the 6cyl-4.0L engine is the only thing that hasn't self-destructed yet. (I ran my '90 into the ground, but this '01 is no 90, it's a POS (Piece of S).
But it's paid for...
Suddenly the tranny has begun sticking in 2nd, but it will up shift @ 4500 rpm if I rev it up and let off. Chats suggest that replacing the governor pressure sensor and solenoid might do the trick as opposed to dropping in a rebuilt for $1500.00 (plus blood, sweat & tears).
I already spent $120.00 at the dealer to tell me it's broke and for $3000.00 they'll make it all better (lol)! $3k is the Kelly Blue Book value for the whole truck!
All advice appreciated.

You're right, maintenance IS the key. Unlike my last CL, that I did all my own maintrenance on, the '01 has been a regular at the dealership. Only times I work on it is when "expensive" work is required, like the water pump (expected) and cracked, plastic radiator (lemonaide) and now of course the tranny.
I'm really torn, I'm going to do the work, but do I do a half fix with the sensor & solenoid or just go 4 a rebuild? The dealer replaced the fluids and dropped the pan, said they found some metal (but I think they figure, with 100k on it, just do the replacement).
My quandry is...hang on to it for another year or patch it up and trade it in. I don't really want to buy a new car and get further debt at this point in the economy.

you need to know if you have trouble codes before you throw parts at it. If you do, change the solenoids and hopefully everything is good.
as far as the noobie post, if its skipping second gear, than the band is burnt and will need to be overhauled.
