if i go to the JY and get a 8.25 to swap with my d35 what will it requior
am i gonna need to modify anything or will this be a bolt on swap

If the axel comes from an XJ it will be a direct swap. The only NEW parts you have to get will be the U-Bolts. Swap can be performed with 2-3 wrenches and a lug wrench. Now whether or not you have ABS and axel gearing have to be taken into account. Then theres why are you making the swap? Because unless you are going to really big tires 33+ and very heavy trail work or yours is damaged. Swapping is a waste of time and money.

seriously though i just wanna swap so i can go wheeling and not have as much worry as to what kinda situation im putting my axle into. plus i wanna get a locker so the d35 is pretty much usless for that. and no i dont have any abs

As stated above only do the swap if you are going to put in the 97+ 8.25, they are 1 spline short of a d44. The 27 spline is pretty comparable to the d35. And it is a direct bolt in all that is needed is new u-bolts as stated above also. Don't forget to check the gear ratio on you front axle because the 8.25 you pull will have to have the same gear ratio as your front axle.

Yup, 01's were available with a non-ABS d35. Easy way to make sure is to look at the rear diff cover. d35's are round at the bottom, while 8.25's have a flat spot on the bottom. The 29 spline 8.25 is stronger than the d35. As has been said, make sure to get one from a 97+ (29 spline compared to 27 spline), as well as checking the front axle gear ratio (3.55's or 3.73's). Whichever ones you have in the front you need to match the rear to. The swap itself will be easy - new u-bolts, some hand tools, and PB Blaster.
